Equitable Treatment Investors
The Company shall adopt the necessary provisions to ensure that the preferential treatment given to a Fund or Shareholder by the Company does not create a material disadvantage for other Shareholders. The GFIA shall ensure that its decision-making procedures and its own organizational structure guarantee the fair treatment of Shareholders. In addition, the GFIA ensures that Shareholders are treated fairly and equitably. The Company, the GFIA or the General Partner may enter into side letters or other written agreements with any investor, provided that such agreements (i) do not violate the content of the legal documentation of the Company and the relevant Sub-Fund and/or (ii) do not affect the proper functioning of the Company and the relevant Sub-Fund and/or (iii) do not prevent the relevant Sub-Fund and the Company from complying with their legal and regulatory obligations, and (iii) have the sole effect of creating rights or supplementing the terms of the subscription documentation for a Sub-Fund. If the Company, the GFIA and/or the General Partner enter into any such side letter or other agreement with an investor (the "Beneficiary") establishing rights or benefits in favor of the Beneficiary that (taken together with the associated obligations) are more favorable in any material respect to the Beneficiary than the rights and benefits established in favor of any other investor whose investment in the relevant Sub-Fund (together with the investment of related parties) is equal to or greater than the Beneficiary's investment in such Sub-Fund, the Company will offer to each of the other investors who have agreed to subscribe for amounts equal to or greater than those of the Beneficiary in the relevant Sub-Fund, the opportunity to elect, within thirty (30) calendar days of receipt of such offer, to receive the same rights and benefits as the Beneficiary to the extent objectively and reasonably applicable to such other investor and only with respect to the relevant Sub-Fund. In connection with such offer, the Company shall provide a copy of such side letter or other agreement reflecting the rights and benefits granted to the Beneficiary to such interested investor. This Section shall not apply to more favorable terms with respect to commissions to the General Partner, the GFIA, or any affiliate or employee of the GFIA, or any of their related persons or entities, as the case may be.Learn more about our complete range of professional services
